These Terms of Service ("Terms") govern access to and use of groundwork (the "Service"), provided by Onezero8 Rebound Ltd ("Onezero8", "we", "us" or "our"), a company registered in England and Wales under company number 14213297 with its registered office at 9 Perseverance Works, London, E2 8DD. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Service
groundwork provides software that helps businesses map their operations and configure AI agents to work within them. We may update, change, or discontinue features of the Service from time to time.
2. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Subscriptions and Payment
Paid plans are billed in advance on a recurring basis as described at checkout. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our pricing with reasonable advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.
4. Acceptable Use
You agree not to misuse the Service — including attempting to gain unauthorized access to it, interfering with its normal operation, or using it to violate any applicable law or the rights of others. We may suspend or terminate access for use that violates these Terms.
5. Your Data and Content
You retain ownership of the data and content you submit to the Service ("Your Data"). You grant us a license to host, process, and use Your Data solely to provide and improve the Service on your behalf. You are responsible for having the necessary rights to submit Your Data, including any third-party data connected via integrations.

The Service, including its software, design, and documentation, is owned by Onezero8 or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or the groundwork name beyond what is necessary to use the Service as intended.

The Service may connect to third-party systems you authorize (for example, the operational systems and communication channels your business already runs on). We are not responsible for those third-party services, and your use of them is governed by their own terms.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Onezero8 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.
10. Term and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms and do not remedy the breach after being notified. On termination, your right to use the Service ends, though provisions that by their nature should survive (such as payment obligations and limitation of liability) will continue to apply.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
